ARADY SHARES MOVES TOWARDS IMPLEMENTATION AS ARADY MISR APPOINTS DRENY & PARTNERS

 

The latest milestone takes Arady Misr’s proposed land-investment model from market concept into legal structuring and regulatory preparation ahead of the applicable FRA approval process.

Arady Misr is moving forward with the next phase of Arady Shares, taking its proposed land-investment model from an announced market concept into legal structuring and regulatory preparation ahead of implementation.

The latest milestone follows Arady Misr’s earlier unveiling of Arady Shares and marks the beginning of the work required to establish the legal and regulatory foundations of the model. As part of this phase, Dreny & Partners Attorneys at Law has been appointed as legal counsel to advise on the proposed structure and support Arady Misr through the relevant approval process before the Financial Regulatory Authority (FRA).

Arady Shares was conceived around a simple proposition: land has long represented one of Egypt’s most significant asset classes, yet direct participation has traditionally required substantial capital and, in many cases, the acquisition of an entire plot.

Arady Misr is seeking to change that equation by developing a structured investment model through which selected land opportunities may become accessible to a broader base of participants, while operating within an institutional and regulated framework.
The company has previously announced its intention for Arady Shares to operate through a Real Estate Investment Fund, subject to the requisite approvals of the FRA and compliance with the applicable Egyptian legal and regulatory requirements.

The move into legal and regulatory development represents a significant step for the project. While the earlier announcement introduced the commercial proposition to the market, the current phase is concerned with translating that proposition into a structure capable of implementation.

Dreny & Partners will advise Arady Misr on the legal and regulatory architecture of the proposed model and support the company throughout the applicable regulatory process. The Firm’s mandate will include advising on the investment structure, governance arrangements, contractual framework, disclosure requirements, investor rights and protections, and the documentation required for the relevant approvals.

The work will be undertaken within the Egyptian legal framework governing investment funds and non-banking financial activities, including the Capital Market Law No. 95 of 1992, its Executive Regulations and the applicable regulations and decisions issued by the FRA.

For Arady Misr, however, Arady Shares is intended to be more than the division of a land opportunity into smaller investment amounts.

The proposed model envisages a structured process through which potential land opportunities may be identified, assessed and subjected to the appropriate legal, technical, planning and investment review before being considered for inclusion within the investment framework. The broader objective is to combine easier access to land-investment opportunities with the governance, disclosure and investor-protection standards expected within a regulated environment.

The precise form of any investment interest, the rights attaching to it and the mechanics through which participation may ultimately take place will remain subject to the final legal structure, definitive documentation and the approvals of the competent regulatory authorities.

The appointment draws on Dreny & Partners’ experience across capital markets, non-banking financial services, investment structuring and real estate, including matters involving regulatory procedures and approvals before the FRA.
